Broadcast Agreement

 

Preamble

This agreement is presented in good faith in order to protect all parties and ensure proper broadcast management, facilitate appropriate content and the proper management of program scheduling. Word Broadcasting Network is making available its network broadcasting expertise, equipment and personnel to facilitate a least cost not-for-profit network. Since this is a not-for-profit endeavor there is minimal guarantees afforded to the Network Users. Please review this broadcast agreement carefully.

Definitions

Agreement - refers to this broadcasting agreement. WBN Broadcasting Documents - refers to all documents pertaining to this broadcasting agreement which are as follows; this broadcasting agreement, statement of faith and broadcasting expectations, disclaimer and cancellation policy. Network User - a network user is an individual pastor or ministry who subscribes to and uses WBN's system to broadcast messages. WBN - refers to Word Broadcasting Network which includes equipment, proprietary methods, documentation and procedures, WBN's employees, staff and operations management. Program Time Slot - the time slot assigned to a specific network user that would include daily and weekly schedules and time duration.

 

Description

WBN is providing program management, FCC License to Broadcast, Satellite Uplink and contract maintenance with carriers in order to facilitate the video and audio broadcast of the Gospel of our Lord Jesus Christ. This service/ministry is offered to participating ministries who adhere to WBN's Statement of Faith, this Broadcast Agreement as well as WBN's Disclaimer and Cancellation Policy documents.

 

WBN reserves the right to determine what is suitable for content in the broadcast of all messages presented by the participating ministries. WBN's is obligated to adhere to all appropriate FCC broadcasting rules and regulations governing the freedom of speech and the broadcast of religious content. Further, WBN is obligated to protect the integrity of this network from any false doctrine, deceitful use and manipulation of all viewers of the network.

 

Purpose

The purpose of this network is to facilitate the preaching and teaching of the Gospel of Jesus Christ in a manner that is consistent with the sound doctrines of scripture and teachings of Christ without compromise. The primary message content is directed at the reformation of body of Christ, that the word of God, true sanctification and the work of the cross in the believer's life return to the proper eminence that the Church might be purified and readied for the coming of our Lord.

 

Thus, WBN desires to provide a platform for video and audio broadcasting at the least cost for those ministries that are so called by our Lord Jesus Christ who embrace this stated purpose.

 

Network User's Obligations

Each network user is obligated to provide video/audio messages in the proscribed format on a predetermined time prior to the Network User's Program Time Slot. Sponsorship for each scheduled time slot is to be received in advance and is based on a monthly billing cycle. Network User must make best effort to notify WBN if scheduled message for a program time slot is delayed, is not available, or the Network User is unable to consistently meet program time slot deadlines. 

 

Each network user must provide administrative and management contact persons as well as provide contact information changes immediately.

 

The Network User must, in advance, make prior arrangements for continuation of Broadcasts within the user's program time slot if sponsorship are in arrears. The Network User must provide 15 day notice of intent to cancel. See Cancellation Policy 

 

WBN Obligations

Word Broadcasting Network will provide program schedules, program schedule changes, management contact information and changes, policy and agreement changes, fee increases, cancellation or program time slot changes, planned equipment maintenance resulting in network shutdown, How to Get Started Packet, and periodic news releases and notifications on a routine and timely basis.

 

Mutual Indemnification

WBN and all Network Users agree to indemnify and hold each harmless from all claims, losses, expenses, fees including attorney, costs, and judgments or fines that may be asserted against the other resulting from mismanagement, misrepresentation, illegal activities, fail to license, fraudulent activities or crime committed by owners or their employees of WBN or any individual Network User. 

 

Non Guarantee

WBN cannot guarantee the network be free of interrupted service due to conditions beyond WBN's control, such as weather, equipment failure, postal and or shipment delays, accidents, or any other impairment upon the Network. WBN will provide best effort to keep minimal cost for each Network User as well as the continuation of the uplink and downlink service provider contracts. 

 

WBN cannot guarantee each Network User will always have their preferred and or scheduled program time slot, nor can WBN guarantee that a program time slot not be pre-empted by a priority message or by rearrangement of Network User's time slots.

 

WBN cannot guarantee that a Network User's application will be accepted and scheduled for a program time slot. WBN will diligently review, seek counsel and the leadership of the Holy Spirit concerning all applicants. Further, WBN cannot guarantee that an individual Network User will not be dropped and replaced by a more effective and relevant applicant.  If a Network User is dropped due to replacement of a more effective and relevant ministry, this will have been decided upon primarily due to non available program times slots. In this case notification will be given within 15 days prior to cancellation to allow viewer notification by the cancelled Network User.

 

WBN will provide best effort in notifying Network Users any program time slot changes or system down time, but will not guarantee against nor offset any expenses incurred by Network User if changes occur without amble notice to prevent such expenses or losses.

 

Reserved Rights

Both WBN and each individual Network User has the right to cancel without reason this Broadcast Agreement and immediately cease use of the network and cancel program time slots.  See Cancellation Policy for specific details.

 

Sponsorships already paid for a cancelled time slot will be refunded within 30 days. All past due fees owed by the cancelled Network User will be paid within 30 days, unless other arrangements have been made. See Cancellation Policy for specific details.

 

WBN retains cancellation rights that can be implemented immediately if an individual Network User's strays in doctrine and message from the agreed to WBN Statement of Faith or any misuse, misconduct or the breaking of any FCC rule or regulation.

 

Parties deciding to cancel agree to provide notification in writing within fifteen days if possible.

 

Confidentiality

Both WBN and each individual Network User agrees to keep this contract and all WBN Broadcasting Documents confidential. WBN and Network Users can promote this Network by publications and notifications as long as said promotions do not interfere with the network operations.

 

Termination of this agreement, its reasons and any information pertaining to the operations, failures, or contentions between grieving parties are to be held in confidentiality.
